Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 4, 2018, Christopher B. Harned resigned from the Board of Directors of Freshpet, Inc. (the “Company”), including all committees thereof, effective as of such date. Mr. Harned is resigning for personal reasons and not as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company thanks Mr. Harned for his service to the Company and its stockholders.
